Mō te tūranga - About the role

ANZ is looking for a  Company Secretary for its funds management subsidiary, ANZ New Zealand Investments Limited (ANZ Investments).   ANZ Investments manages more than $30 billion in investments for investors throughout New Zealand and is New Zealand’s largest KiwiSaver scheme provider.

 

The Company Secretary is responsible for efficiently managing ANZ Investments’ company secretarial obligations as well as managing key regulatory and prudential obligations arising from the Financial Markets Authority licencing regime, Companies Act and where applicable, RBNZ conditions of registration and NZX Listing Rules. This role ensures ANZ Investments has in place, and adheres to, robust company secretarial practice and procedure. The Company Secretary will provide governance advice and support to ANZ Investments’ directors and senior management.  The role is also responsible for maintenance of existing robust company secretarial processes and governance documents.

 

Role Location: Wellington (preferred)

Role Type: 10-Month Opportunity

Hours: Standard, Monday to Friday 37.5 hrs

The key responsibilities of the role include the following:

 

  • Providing highly organised and efficient end-to-end company secretarial services to ANZ Investments. This includes acting as Company Secretary, managing all aspects of board meetings including collation and review of board papers, minute taking, management of meeting actions and reviewing and updating board governance documents and/or policies. 
  • Maintaining robust and comprehensive company secretarial processes that facilitate compliance, drives standardisation and serves as a key risk control
  • Efficiently managing the key corporate, regulatory and prudential obligations to ensure compliance  
  • Develop and maintain strong working relationships with Directors, Senior Management, and external stakeholders such as regulators, to ensure ANZ Investments is well represented and the NZ Company Secretariat Team is seen as a trusted advisor
  • Work collaboratively with Senior Management to develop their understanding of better governance practice by sharing knowledge and developing processes together
  • Where capacity allows, assist the NZ Company Secretariat team with other  governance obligations

  • Strong experience in the areas of corporate governance and company secretarial practice
  • Strong minute taking skills
  • Highly organised and proactive, with an ability to prioritise multiple tasks
  • Ability to focus and work under pressure to meet business and/or regulatory deadlines
  • Proven ability to work unsupervised and meet deadlines
  • Proven ability to work collaboratively and drive outcomes
  • Experience implementing and maintaining robust governance frameworks and processes
  • Responsive, with a desire to get things done and ensure the Team meets its goals
  • Excellent written and oral communication skills, and strong interpersonal skills
  • Strong analytical and problem-solving skills
  • Ability to work autonomously and as part of a team
  • Proficiency in Microsoft Office programs – Work, Outlook, Teams, Excel, PowerPoint, SharePoint & Copilot
