About the Role
An Associate Director, Loan Structuring & Execution is responsible for the structuring, negotiation, documentation and execution of complex loan transactions for our Institutional customers.
Our team’s objectives are to:
- deliver value by executing best in class, commercial, tailored loan facility solutions for our customers at pace
- leverage our expertise in structuring, execution and risk management to support deal origination and a better customer experience
- embed financial and non-financial risk discipline and contribute to good regulatory outcomes by ensuring bespoke loan documentation aligns with bank documentation requirements and credit approvals.
In your role as an Associate Director, you will manage the transaction process to financial close by offering loan structuring advice, preparing term sheets, appointing and instructing external lawyers, leading customer negotiations, confirming documentation aligns with credit approvals, attending to execution and finally providing conditions precedent sign-off.

What will your day look like?
A typical day may involve:
- Working on a diverse range of deals, including bilateral, club, syndicated, property and construction, leverage, capital call, structured asset finance and sustainable finance loan facilities.
- Assisting with the structuring of loan facilities and providing input where required for credit workshops.
- Preparing mandate documents and term sheets (including drafting (high level) key terms and conditions for term sheets as required).
- Appointing, instructing and managing external lawyers on transactions, including preparing requests for fee estimates, ensuring time tables are met, responding to requests for instructions from lawyers and managing legal fees.
- Reviewing/commenting on externally prepared finance documents to ensure documentation is in line with customer expectations, market standards, bank policy and credit approvals.
- Meeting with deal teams to discuss deal progress, issues requiring credit approval and roadblocks to deal delivery.
- Leading customer negotiations on deal terms and conditions.
- Managing conditions precedent to financial close.
- Working on key projects in connection with the delivery of loans to our customers, and the provision of learning opportunities to the broader bank.
What will you bring?
- Tertiary, post graduate qualification and relevant technical qualifications.
- Solid experience (5+ years ideally) in debt markets (syndications, documentation roles etc) or legal market, with experience in managing a broad range of complex loan transactions.
- Demonstrated strong written and verbal communication skills
- Sound understanding of Australian loan market terms & loan finance documentation, including mandate documents, facility agreements, guarantees, security documents and side deeds.
- Developed deal structuring skills, including commercial and analytical judgment of transactions and understanding of appropriate risk allocation.
- Sound understanding of financial and non-financial risk and ability to speak-up.
- Ability to prepare and review bespoke term sheets and mandate letters
- Demonstrated leadership, transactional and project management skills, with ability to drive deals to meet customer deadlines and manage legal spend.
- Ability to prioritise time, manage heavy workloads and competing demands, including managing multiple transactions at the same time
- Critical thinking and flexibility for rapid problem solving and decision making.
- Collaborative, decisive and solutions-focused approach, with the ability to develop pragmatic, commercial solutions.
- Developed negotiation, influencing, networking and relationship skills.
- Strong collaboration skills and ability to build strong and respected relationships with customers, credit and other key stakeholders.
- Ability to work well independently and as part of a team.
- Willingness to participate in projects and team activities as and when required
- Self-motivated to continually learn, develop knowledge and contribute to the learning of others.
